These Terms of Use ("Terms") govern your access to and use of the Calypta Health platform and services ("Services") provided by Calypta Systems, Inc. ("Calypta," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use our Services.

1. Important Medical Disclaimer

CALYPTA HEALTH PROVIDES EDUCATIONAL CONTENT ONLY. IT IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT.

The information provided through our Services, including content in flows and AI-generated chat responses, is intended to help you understand health topics and have informed conversations with your healthcare providers. It is not intended to:

  • Replace consultation with a qualified healthcare professional
  • Provide medical diagnoses
  • Recommend specific treatments for your individual circumstances
  • Create a doctor-patient relationship

Always consult with a licensed physician or other qualified healthcare provider before making any health-related decisions. Never disregard professional medical advice or delay seeking it because of something you read or heard through Calypta Health.

If you think you may have a medical emergency, call your doctor or emergency services immediately.

2. Eligibility

You must be at least 18 years old to use our Services. By using Calypta Health, you represent and warrant that you are at least 18 years of age.

Some of our content addresses health decisions for minors. In these cases, the user is the parent or guardian making the decision, not the minor.

3. Account Terms

If you create a Partner Account to share flows with patients or members:

  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You must provide accurate and complete information when creating your account
  • You must notify us immediately of any unauthorized use of your account

4. Acceptable Use

You agree to use our Services only for their intended purpose: health education and decision support. You agree not to:

  • Use the Services as a substitute for professional medical care. Our Services are educational tools, not replacements for consultation with qualified healthcare providers.
  • Attempt to extract, reverse-engineer, or manipulate our AI systems. This includes attempting to discover system prompts, circumvent content guidelines, or cause the AI to produce responses inconsistent with its intended purpose.
  • Use the Services for topics other than those explicitly offered. Our flows are designed for specific health decisions. Do not attempt to repurpose them for unrelated conversations.
  • Share false or misleading information about your identity, qualifications, or affiliation when creating a Partner Account.
  • Use the Services in any way that violates applicable laws or regulations, including healthcare privacy laws.
  • Interfere with or disrupt the Services or servers or networks connected to the Services.
  • Attempt to gain unauthorized access to any portion of the Services or any other systems or networks.
  • Use the Services to harass, abuse, or harm others, or to collect or store personal data about others without their consent.

5. Intellectual Property

The Services, including all content, features, and functionality (including but not limited to flow content, text, graphics, interactive elements, software, and the overall design), are owned by Calypta Systems, Inc. and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

6. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Services will be uninterrupted, secure, or error-free
  • The results obtained from the Services will be accurate or reliable
  • The quality of any information obtained through the Services will meet your expectations
  • Any errors in the Services will be corrected

AI-generated content may contain errors or inaccuracies. While we strive for accuracy, you should verify any information before relying on it for health decisions.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALYPTA SYSTEMS, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use of or inability to use the Services
  • Any conduct or content of any third party on the Services
  • Any content obtained from the Services
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID US, IF ANY, FOR USE OF THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

8. Indemnification

You agree to indemnify, defend, and hold harmless Calypta Systems, Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of any third party.

9. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Binding Arbitration

You and Calypta Systems, Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration, rather than in court, except that either party may bring claims in small claims court if they qualify.

Arbitration Rules

Arbitration shall be conducted by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be held in Delaware or, at your election, conducted by telephone or based solely on written submissions.

Class Action Waiver

YOU AND CALYPTA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Opt-Out

You may opt out of this arbitration agreement by sending written notice to privacy@calyptahealth.com within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of the arbitration provision.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

11. Termination

We reserve the right to suspend or terminate your access to the Services at any time, for any reason, without notice or liability. This includes, but is not limited to, violations of these Terms or conduct that we believe is harmful to other users, us, or third parties.

You may stop using the Services at any time. If you have a Partner Account, you may request account deletion by contacting us at privacy@calyptahealth.com.

Upon termination, all provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

12. Changes to These Terms

We may modify these Terms at any time. We will notify Partner Account holders of material changes by email or through the Services. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.

13. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Calypta Systems, Inc. regarding the Services.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
